Bernhard Alpstaeg is now also taking legal action against FCL Holding AG.
Bernhard Alpstaeg is now taking legal action against FC Luzern. The 77-year-old has filed a criminal complaint against the members of the board of directors, “for dishonest business management with the intention of personally enriching himself and for defamation”. He is also taking civil action against FCL Holding AG.
As the media release from Alpstaeg’s communications consultant Sacha Wigdorovits goes on to say, two weeks ago they had written to the Board of Directors to “restore the lawful status and put him back in the FCL Holding AG share register as a shareholder with voting rights for all his 52 percent of the shares to register.”

Alpstaeg wants to fight stock expropriation in court
That did not happen by the scheduled deadline of January 31st. “Alpstaeg has no choice but to take legal action to enforce its rights as a shareholder.” He has filed a civil lawsuit to reverse the board of directors’ expropriation of 25 percent of his FCL Holding shares.
Flashback: On December 21, 2022, shortly before the Annual General Meeting, the Board of Directors partially removed a block of shares of 25 percent from the share register. The Board of Directors justified this by saying that the sale of Walter Stierli’s shares to Alpstaeg in 2015 was illegal. “In the current lawsuit before the Lucerne District Court, this allegation is completely refuted,” write Alpstaeg and Wigdorovits.
They claim that Alpstaeg did not even buy the 25 percent in 2015, but only acquired it as part of its entire current 52 percent stake in FCL Holding AG during a capital increase in February 2021. “So they didn’t take away Alpstaeg’s shares from the 2015 purchase in his night and fog action – because they were destroyed in February 2021.”

“This allegation is allegedly defamatory”
In addition, Alpstaeg is of the opinion that the actions of the four members of the board of directors of FCL Holding AG on December 21st constitute improper management. He is therefore directing the criminal complaint against the Chairman of the Board of Directors Stefan Wolf, the Vice Chairman Josef Bieri and the Board of Directors Ursula Engelberger-Koller and Laurent Prince.
Alpstaeg felt particular resentment against Engelberger-Koller. The lawyer claimed both personally and later in interviews that he was only able to obtain recognition as the owner of the shares in question because he had threatened the board of directors at the time. “This allegation is false and allegedly defamatory.”
For these reasons, Alpstaeg also turns to the license commission of the Swiss Football League SFL. This is asked to take a close look at the events at FC Luzern and its economic situation before granting permission to play for the 2023/24 season.
