The shareholder dispute at FC Luzern is always about FCL honorary president Walter Stierli. Specifically, it is about the share deal between him and Bernhard Alpstaeg in 2015. It was only through this share purchase that Alpstaeg became the majority shareholder. However, this transaction is always viewed critically.
The FCL has recently emphasized several times that it is examining this deal closely. Stierli and Alpstaeg are said to have violated the shareholders’ agreement between the shareholders of FCL Holding AG. Now, for the first time, Stierli has commented on this matter through his lawyer. “This allegation is false,” says a letter from his lawyer.
“The sales right of the shareholders’ agreement, which was in force at the time, only applies to third parties. However, because Bernhard Alpstaeg was a party to the shareholders’ agreement, the passage is not relevant in this case.” An independent report from 2019 was accepted by the board members Josef Bieri, Samih Sawiris and Marco Sieber.
In a further step, the share transfer was also examined as part of a comprehensive due diligence review by KPMG Zurich. “The latter also confirmed that there was demonstrably no pre-sale and that the 25,000 registered shares were thus legally transferred from Walter Stierli to Bernhard Alpstaeg and without violating shareholder rights.”
